ARTICLE I. DIRECTORS Section 1. Function. All corporate powers shall be exercised by or under the authority of the Board of Directors. The business and affairs of the Corporation shall be managed under the board of directors. The Directors must be natural persons who are at least 18 years of age but need not be shareholders of the corporation. Residents of any state or any country may be directors. Section 2. Compensation. The members shall have authority to authorize the compensation of the directors.
